1. Parties and Scope
These Quotation and Pricing Terms apply to quotation requests submitted through the denimmoon.com website, to the price information displayed on the site and to the quotations prepared by Denim Moon Tekstil İthalat ve İhracat Sanayi Ticaret Limited Şirketi (hereinafter "Denim Moon") in response to such requests. Every visitor and member who uses the website, creates a quotation list or submits a quotation request (hereinafter the "Requester") is deemed to have accepted these terms.

2. Definitions
- Quotation List: The list in which the Requester collects the products for which a quotation is requested, together with the quantity, regional fit, size and length selections.
- Quotation Request: The transmission of the Quotation List to Denim Moon through the "Request a Quote" action.
- List Price: The current reference price per unit displayed on the product page.
- Estimated Total: The reference amount calculated from the List Price, the selected quantity and the production scale advantage.
- Final Quotation (Proforma): The official quotation sent to the Requester in writing by Denim Moon, containing the binding price and conditions.
- Sample (PP) Approval: The written approval of the pre-production sample by the Requester.
- MOQ: The minimum order quantity determined according to the product, fabric type and washing complexity.
- Regional Fit: The selection indicating the region whose body fit and size system the product will be produced to.
3. Nature of the Quotation Request
No direct sales are made and no payments are collected through our website. The Quotation List is not a shopping cart and the Quotation Request is not an order. A Quotation Request is a non-binding enquiry indicating that the Requester wishes to receive price and condition information for the specified products. A Quotation Request creates no obligation for Denim Moon to issue a quotation and no obligation for the Requester to purchase. A commercial relationship begins outside the website only upon the Requester's written acceptance of the Final Quotation and the conclusion of the final agreement agreed between the parties.
4. List Price and Estimated Total
The List Price and Estimated Total displayed on product pages are reference amounts calculated from the current list price; they do not constitute an offer or a commitment. These amounts may change depending on current raw material costs in the supply chain, exchange rates and production conditions.
In order to protect both production continuity and the interests of our business partner, binding and definitive pricing is communicated only in the Final Quotation (proforma) sent to the Requester. The definitive price is confirmed once the Sample (PP) Approval, the final order quantity and the raw material exchange rate and cost on the order date are established. This approach is applied to prevent price disputes arising from raw material fluctuations and to ensure a transparent cooperation.
5. Production Scale Advantage and Minimum Order Quantity
The production scale tiers displayed on product pages show reference advantage rates applied to the List Price according to the order quantity. Tier quantities and advantage rates vary by product, fabric type and production process; the tiers applicable to each product appear only on that product's page and are for reference. The definitive rate and amount to be applied are determined in the Final Quotation.
The standard List Price applies to quantities below the tiers. MOQ conditions apply to each product depending on the fabric type and industrial washing complexity; whether a quotation is issued for requests below the MOQ is assessed by Denim Moon.
6. Validity of the Final Quotation
Unless otherwise stated in the quotation, the Final Quotation is valid for 21 days from the date it is sent. A quotation not accepted in writing within this period automatically lapses; after the period, a new quotation is prepared under current conditions.
The amount in the Final Quotation is calculated on the basis of the exchange rate and raw material cost on the quotation date. Where payment in several instalments (tranches) is agreed, the amount, exchange rate basis and due date of each instalment are determined jointly by the parties and are subject to the final agreement. Unless otherwise agreed in the final agreement, exchange rate changes between the quotation date and the payment date are reflected in accordance with the provisions of the final agreement.
7. Sample (PP) Approval and Start of Production
Orders are put into production after the Sample (PP) Approval has been obtained. The technical values stated on product pages (fabric, weight, wash, fit, construction and similar) are for reference; they may be customised on an order basis and the final product specification is fixed at the Sample (PP) Approval. Requests to deviate from the approved sample may require a new sample and, where necessary, new pricing.
8. Regional Fit, Size and Currency
The Regional Fit selection determines the body fit and size system to which the product is cut; it does not mean a shipping, delivery or tax region. Size and length tables are for reference; special size and grading requests are addressed in the Final Quotation. The currency displayed on the site is for information; the invoicing currency and exchange rate basis are determined in the Final Quotation and the final agreement.
9. Payment, Delivery, Taxes and Customs
No payment is collected through the website; no credit card or bank account information is processed. The payment method and term, delivery terms (INCOTERMS), lead time, packaging, shipment, insurance, taxes, customs and all other commercial conditions are determined in the Final Quotation and the final agreement. Unless otherwise stated, the List Price and Estimated Total do not include taxes, transport or customs charges.
10. Cancellation, Changes and Returns
- Quotation Request: May be cancelled or changed by the Requester without any obligation before the Final Quotation is accepted.
- After the Final Quotation: Cancellation and change requests made after acceptance of the Final Quotation are subject to the provisions of the final agreement.
- Orders in production: Products put into production after the Sample (PP) Approval are manufactured specifically to the specifications approved by the Requester; therefore returns are not accepted. For products that do not conform to the approved sample and the quality conditions in the final agreement, correction, re-production or refund is assessed according to the quality control and claim procedure set out in the final agreement.
11. Intellectual Property
Rights in designs, brands, logos and technical files submitted by the Requester remain with the Requester; Denim Moon uses such material solely for quotation and production purposes and keeps it confidential in accordance with the Design and Sample Confidentiality Statement. Patterns, product images, technical specifications and website content belonging to Denim Moon are the property of Denim Moon and may not be copied or shared with third parties without written permission.
12. Liability
Denim Moon exercises reasonable care to keep product information and prices on the website up to date; however, obvious typographical and calculation errors do not bind Denim Moon and are corrected in the Final Quotation. The Requester is responsible for the accuracy of the information provided in the Quotation Request.
13. Governing Law and Jurisdiction
These terms are governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Istanbul have jurisdiction over disputes arising from these terms. Where a different dispute resolution method has been agreed in the final agreement, the provisions of the final agreement apply.
14. Updates
These terms may be updated as a result of changes in our production and pricing practices. The current version is always published on this page; Final Quotations already issued are subject to the terms in force on the quotation date.
