1. Parties
This Individual Membership and Quotation Request Agreement (hereinafter the "Agreement") is concluded electronically upon completion of membership registration between Denim Moon Tekstil İthalat ve İhracat Sanayi Ticaret Limited Şirketi (hereinafter "Denim Moon"), whose details are set out below, and the natural person who creates an individual membership on the denimmoon.com website (hereinafter the "Member").

2. Definitions
- Website: The denimmoon.com domain and its sub-pages.
- Individual Membership: An account created by a natural person in their own name for personal use and for obtaining quotations.
- Corporate Membership: An account created on behalf of a company or business with wholesale purchasing and invoicing details; it is outside the scope of this Agreement and is governed by the Corporate Membership and Quotation Request Agreement.
- Quotation List: The list in which the Member collects the products for which a quotation is requested, together with quantity, regional fit, size and length selections.
- Quotation Request: The transmission of the Quotation List to Denim Moon through the "Request a Quote" action.
- Final Quotation (Proforma): The official quotation sent in writing by Denim Moon, containing the binding price and conditions.
3. Subject and Conclusion of the Agreement
This Agreement governs the rights and obligations of the parties regarding the Member's creation and use of an individual membership account on the Website and the submission of Quotation Requests. The Agreement is concluded when the Member completes the registration form, ticks the box confirming that they have read this Agreement and the Privacy Notice, and completes the "Sign Up" action. The text of the Agreement is stored by Denim Moon in the version in force on the date of conclusion and is accessible on the Website at all times.
4. Membership Conditions
- The Member must be a natural person who has reached the age of 18 and has legal capacity.
- The Member accepts that the full name, e-mail and telephone details provided at registration are accurate, up to date and their own, and updates the account when these details change.
- Individual Membership is for the Member's own name and personal use. Requests that require wholesale purchasing and invoicing on behalf of a company, business or third party require a Corporate Membership.
- Each natural person may open only one individual membership account. Denim Moon reserves the right to suspend or close accounts opened with duplicate, false or misleading information.
5. Account Security
The Member is responsible for keeping the account password confidential and for all actions carried out through the account. A Member who becomes aware that their password has been disclosed to third parties or that their account has been used without authorisation notifies contact@denimmoon.com immediately. Where login is made with a Google or Facebook account, the account security and privacy terms of those providers also apply. Denim Moon never asks for the Member's password by e-mail or telephone.
6. Quotation Request
The Member may submit a Quotation Request by adding products on the Website to the Quotation List. The following principles apply to Quotation Requests:
- No direct sales are made and no payments are collected through the Website. The Quotation List is not a shopping cart and the Quotation Request is not an order; a Quotation Request is a non-binding enquiry for price and conditions.
- The list price, estimated total, production scale tiers and technical values displayed on product pages are for reference. Binding and definitive pricing is communicated only in the Final Quotation; the definitive price is confirmed once the sample (PP) approval, the final order quantity and the raw material exchange rate and cost on the order date are established.
- Unless otherwise stated, the Final Quotation is valid for 21 days. Payment, delivery, tax, customs, cancellation and return conditions are determined in the Final Quotation and in the final agreement to be signed by the parties.
- A commercial relationship is established outside the Website upon the Member's written acceptance of the Final Quotation.
- Denim Moon is not obliged to issue a quotation for every Quotation Request and reserves the right to assess each request in terms of minimum order quantity (MOQ), production capacity and product suitability.
Detailed provisions on Quotation Requests are set out in the Quotation and Pricing Terms, which form an integral part of this Agreement.
7. Protection of Personal Data
Personal data processed in connection with membership and Quotation Requests is processed in accordance with the Turkish Law No. 6698 on the Protection of Personal Data and, where applicable, the GDPR, within the purposes, legal bases, recipient categories and retention periods explained in the Privacy Notice. The Member separately confirms at registration that they have read the Privacy Notice. Consent to commercial electronic messages is obtained separately and voluntarily, independently of this Agreement; not giving consent does not prevent membership.
8. Intellectual Property
All content, designs, product images, patterns, technical specifications, software and trademarks on the Website belong to Denim Moon or its licensors; the Member may view them solely for the purpose of obtaining quotations. Copying, reproducing, distributing, using for commercial purposes or reverse engineering the content is prohibited. Rights in designs, brands and files submitted by the Member with a Quotation Request remain with the Member; Denim Moon uses them solely for quotation and production purposes and keeps them confidential in accordance with the Design and Sample Confidentiality Statement.
9. Prohibited Use
The Member may not use the Website in a manner contrary to law, public morality or this Agreement; may not attempt to access other users' accounts, use software or methods that disrupt the operation of the system, collect data with automated tools, or submit false or misleading Quotation Requests. In the event of a breach of these obligations, Denim Moon may suspend or terminate the membership without notice and claim compensation for any damage incurred.
10. Limitation of Liability
Denim Moon exercises reasonable care to keep the Website operating without interruption or error; however, it is not liable for interruptions caused by maintenance, updates, infrastructure failures or force majeure. Product information and prices on the Website are for reference; obvious typographical and calculation errors do not bind Denim Moon. Denim Moon's liability under this Agreement is limited to direct damages, except in cases of wilful misconduct or gross negligence.
11. Termination of Membership
- The Member may terminate the membership at any time by notifying contact@denimmoon.com. If a Final Quotation process is ongoing when the account is closed, that process is completed in accordance with the provisions of the final agreement.
- Denim Moon may suspend or terminate the membership if the Member breaches this Agreement, if the account remains unused for an extended period, or where required by law.
- After termination, account records are retained for the period stated in the Privacy Notice for statutory retention and evidentiary purposes, and are then deleted or anonymised.
12. Amendments
Denim Moon may update this Agreement as a result of changes in legislation or in its services. The current version is published on the Website; material changes affecting the Member are notified to the registered e-mail address. By continuing to use the Website after the amendment takes effect, the Member is deemed to have accepted the current Agreement; a Member who does not accept it may terminate the membership.
13. Notices
Notices between the parties are made through the Member's registered e-mail address and Denim Moon's e-mail address contact@denimmoon.com and registered electronic mail address denimmoontekstil@hs01.kep.tr. The Member is obliged to notify changes to their e-mail address; otherwise, notices sent to the registered address are deemed valid.
14. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Republic of Türkiye. The Courts and Enforcement Offices of Istanbul have jurisdiction over disputes arising from this Agreement. Where the Member qualifies as a consumer, the Member's rights under consumer protection legislation and the jurisdiction of consumer arbitration committees and consumer courts are reserved.
15. Commercial Electronic Messages
Consent to receive commercial electronic messages is obtained separately from this Agreement, on a voluntary basis, through an independent and unticked box on the registration form. The scope of the consent, its registration in the Message Management System (İYS) and the right to opt out are explained in the Commercial Electronic Message Consent. The Member may withdraw the consent at any time, free of charge, through the opt-out link in every message, through the Message Management System or by contacting contact@denimmoon.com.
16. Entry into Force
This Agreement, consisting of sixteen articles, enters into force upon completion of the Member's registration. The Member declares that they have read, understood and accepted the Agreement in its entirety.
